Section 1. Acceptance of Terms
These Terms of Use (these "Terms") constitute a legally binding agreement between you ("User") and Growth.how LLC, a California limited liability company ("Growth.how," "we," or "us"), governing your access to and use of the Artificial Intelligence ("AI") leadership coaching tool made available to you through your employer's engagement with Growth.how (the "Tool"). BY ACCESSING OR USING THE TOOL, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must not use the Tool.
Section 2. Description of the Tool
The Tool is an artificial-intelligence-assisted coaching platform designed to support the professional development of authorized users. The Tool is intended to function as a thinking partner and learning resource. The Tool generates responses using AI technology. AI-generated content is produced algorithmically and may not be accurate, complete, current, or appropriate for any particular User's circumstances. Growth.how does not warrant the accuracy, reliability, or fitness for any particular purpose of any content generated by the Tool. Users should independently verify any information before acting upon it and should not substitute AI-generated coaching for qualified professional judgment. Nothing in the Tool constitutes, or should be construed as, professional coaching, human resources advice, legal counsel, medical or psychological treatment, financial advice, or any other form of licensed professional service. Users are solely responsible for evaluating the relevance and applicability of any information or suggestions generated by the Tool and for all decisions made in reliance thereon.
Section 3. Authorized Users; Access Restrictions
3.1 The Tool is made available exclusively to personnel of organizations that have entered into an agreement with Growth.how ("Client Organizations"). Access is personal to the individual user and may not be shared, transferred, sublicensed, or otherwise made available to any third party.
3.2 Users may not: (a) attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code or underlying models of the Tool; (b) use the Tool for any commercial purpose or outside of their authorized relationship with a Client Organization; (c) submit content that is unlawful, defamatory, harassing, or that violates the policies of the Client Organization or applicable law; or (d) attempt to circumvent any security or access-control mechanism of the Tool.
3.3 Growth.how reserves the right to suspend or terminate any User's access to the Tool at any time, with or without notice, for conduct that Growth.how reasonably believes violates these Terms or is otherwise harmful to Growth.how, a Client Organization, or any third party.
Section 4. Intellectual Property
All right, title, and interest in and to the Tool, including without limitation its underlying technology, architecture, training frameworks, content libraries, and any output templates or proprietary methodologies embedded therein, are and shall remain the exclusive property of Growth.how LLC. Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Tool solely for their own professional development in connection with their Client Organization's engagement with Growth.how. Except for the limited license set forth above, no rights in the Tool are granted or transferred to any User. Any reproduction, distribution, modification, or commercial exploitation of the Tool or Tool content without Growth.how's prior written consent is strictly prohibited.
Section 5. Disclaimer of Warranties
THE TOOL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GROWTH.HOW DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. GROWTH.HOW DOES NOT WARRANT THAT THE TOOL WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Section 6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GROWTH.HOW LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF (OR INABILITY TO USE) THE TOOL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL GROWTH.HOW'S AGGREGATE LIABILITY TO ANY USER EXCEED ONE HUNDRED DOLLARS ($100.00).
Section 7. Privacy
Growth.how's collection, use, and handling of personal information in connection with the Tool is described in the Growth.how Privacy Policy applicable to this Tool, which is incorporated herein by reference. By using the Tool, you acknowledge and consent to the data practices described in the Privacy Policy.
Section 8. Modifications
Growth.how reserves the right to modify these Terms at any time in its sole discretion. Updated Terms will be posted within the Tool interface or otherwise communicated to Client Organizations. Continued use of the Tool following the effective date of any modification constitutes acceptance of the revised Terms. If you object to any modification, your sole remedy is to discontinue use of the Tool.
Section 9. Governing Law; Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Tool shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, and each party hereby irrevocably consents to the personal jurisdiction of such courts.
Section 10. Miscellaneous
These Terms, together with the Privacy Policy and any applicable services agreement between Growth.how and the relevant Client Organization, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous understandings. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any provision of these Terms shall be effective unless in writing. Failure to enforce any provision shall not constitute a waiver of future enforcement.
